Policies
Terms & Conditions
The terms that apply when you use this website and buy from Smartool USA.
These terms apply to your use of smartoolusa.com and to purchases from Smartool Holdings LLC (“Smartool”, “we”, “us”). By using the website or placing an order, you agree to them. Our equipment is sold for commercial use.
Using this website
We work to keep product information accurate, but specifications, photos and availability may change and may contain errors. Photos may show optional accessories. The quote you approve and the documents supplied with the machine take precedence over the website.
You may not use the website to break the law, to interfere with its operation or security, or to collect other users’ information.
Quotes and orders
A quote is an offer that is valid until the date stated on it. A contract is formed when you accept the quote and we receive payment, or when we confirm your order in writing. We may decline an order, for example if a product is no longer available or if a price or specification was shown in error; if we do, we refund any payment in full.
Prices and payment
Prices, freight and taxes are set out in your quote. Payment methods and terms are described in our Ordering & Payment Policy.
Delivery, title and risk
Delivery is described in our Shipping Policy. Lead times are estimates. Title and risk of loss pass to you when the goods are delivered to the delivery address. Please inspect deliveries as described in that policy.
Returns and cancellations
Returns, refunds and cancellations are covered by our Return & Refund Policy.
Warranty
Our equipment comes with the limited warranty described in our Warranty & After-Sales Service policy. To the extent permitted by law, that limited warranty is the only warranty we give, and we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
Installation, safety and compliance
You are responsible for installing and operating the equipment in line with its manual, providing the electrical supply, water and drainage it requires, and obtaining any permits or health-department approvals needed at your location. Electrical and refrigeration work must be done by qualified, licensed technicians.
Limitation of liability
To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, including lost profits, lost sales or business interruption. Our total liability for any claim relating to a product is limited to the price you paid for that product. Nothing in these terms limits liability that cannot be limited by law.
Intellectual property
The website content, including text, photos, logos and the Smartool name, belongs to us or our licensors. You may view and print pages for your own business use, but you may not copy or republish them without our permission.
Links to other websites
The website may link to sites we do not control. We are not responsible for their content or practices.
Privacy
How we handle personal information is explained in our Privacy Policy.
Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and both parties consent to that jurisdiction.
General
If any part of these terms is found unenforceable, the rest remains in effect. These terms, together with your accepted quote and the policies linked above, are the entire agreement between us for your purchase. If we do not enforce a right immediately, we do not waive it.
Changes to these terms
We may update these terms. The version in effect when you place an order applies to that order. The “Last updated” date at the top shows when they last changed.
